HI -

Is it ok to upgrade to powershell 3.0 on a windows 2003 server? Are there any gotya's to worry about? (.net).

If you upgrade PowerShell you will have to update your cache. Please refer to the following blog article for more details:

As far as gotchas regarding V3 you will have to ask Microsoft, though there are some bugs that may affect debugging:
